MASTER SUBSCRIPTION AGREEMENT
TERMS & CONDITIONS AND PRIVACY POLICY

This Master Subscription Agreement (“Agreement”) governs access to and use of the BMSFORCE SYSTEMS platform (“Platform”).
This Agreement constitutes a legally binding contract between BMSFORCE SYSTEMS (“Company”, “we”, “us”, or “our”) and the individual or legal entity registering for, accessing, or using the Platform (“Customer”, “you”, or “your”).
By creating an account, subscribing, or using the Platform, you acknowledge that you have read, understood, and agreed to be bound by this Agreement.
If you do not agree, you must not access or use the Platform.
PART I – GENERAL TERMS & CONDITIONS
1. Definitions
Platform means the proprietary software system, applications, databases, and related infrastructure operated by BMSFORCE SYSTEMS.
Customer Data means all data entered, uploaded, or generated by Customer within the Platform.
Authorized Users means individuals permitted by Customer to access the Platform under its account.
2. Eligibility and Authority
You represent and warrant that:
You are legally capable of entering into binding agreements
If acting on behalf of an entity, you have authority to bind that entity
All registration information provided is accurate and lawful
Your use of the Platform complies with applicable laws and regulations
3. Grant of Access Rights
Subject to compliance with this Agreement and payment of applicable fees, BMSFORCE SYSTEMS grants Customer a limited, non-exclusive, non-transferable, and non-sublicensable right to access and use the Platform during the active subscription period.
All rights not expressly granted are reserved.
4. Fees and Payment
Where applicable:
Fees are agreed in advance
Payment must be made within the specified timeframe
Fees are non-refundable unless expressly agreed in writing
Failure to pay may result in suspension or termination
Customer is responsible for all applicable taxes and governmental charges.
5. Acceptable Use
Customer shall not:
Share credentials outside Authorized Users
Reverse engineer, copy, or replicate the Platform
Attempt unauthorized system access
Upload malicious code
Use the Platform for unlawful purposes
Interfere with system integrity or performance
Violation may result in immediate suspension or permanent termination.
6. Intellectual Property
All intellectual property rights in and to the Platform, including software, architecture, documentation, trademarks, and related materials, remain the exclusive property of BMSFORCE SYSTEMS.
No ownership rights are transferred to Customer.
7. Confidentiality
Each party agrees to protect confidential information disclosed during the course of the relationship.
Confidential information includes business processes, technical documentation, financial data, and proprietary materials.
Confidentiality obligations survive termination.
8. Data Ownership
Customer retains ownership of Customer Data.
BMSFORCE SYSTEMS:
Does not sell Customer Data
Does not use Customer Data for advertising purposes
Accesses Customer Data solely for support, maintenance, security, or legal compliance
9. Availability and Maintenance
BMSFORCE SYSTEMS applies commercially reasonable efforts to maintain reliable platform availability.
Scheduled maintenance may occur periodically.
The Platform is provided on an “as available” basis without guarantee of uninterrupted operation.
10. Suspension and Termination
BMSFORCE SYSTEMS may suspend or terminate access if:
Customer breaches this Agreement
Payment obligations are not fulfilled
Use creates security, legal, or operational risk
Upon termination:
Access will cease
Outstanding fees remain payable
Data may be deleted after a reasonable retention period
11. Limitation of Liability
To the maximum extent permitted by law:
The Platform is provided “as is”
BMSFORCE SYSTEMS shall not be liable for indirect, incidental, or consequential damages
Total liability shall not exceed fees paid by Customer during the preceding twelve (12) months
12. Governing Law
This Agreement shall be governed by applicable commercial laws in the jurisdiction where BMSFORCE SYSTEMS operates, without regard to conflict-of-law principles.
PART II – PRIVACY POLICY (GDPR-ALIGNED)
BMSFORCE SYSTEMS is committed to protecting personal data in accordance with internationally recognized data protection standards, including principles reflected in the General Data Protection Regulation (GDPR).
13. Roles and Responsibilities
BMSFORCE SYSTEMS acts as:
Data Controller for account, billing, and administrative data
Data Processor for Customer Data processed within the Platform
14. Personal Data Collected
We collect only data necessary for legitimate business purposes, including:
Name and contact details
Company information
Login credentials
System usage logs
We do not sell personal data.
15. Legal Basis for Processing
Personal data is processed on the basis of:
Contractual necessity
Legitimate business interests
Legal obligations
Consent, where applicable
16. Purpose of Processing
Personal data is used to:
Provide and manage access
Maintain account administration
Process payments
Ensure system security
Improve operational reliability
17. International Data Transfers
Where personal data is processed outside the European Economic Area (EEA), appropriate safeguards are implemented consistent with GDPR principles.
18. Data Security
BMSFORCE SYSTEMS implements appropriate technical and organizational safeguards, including:
Secure hosting environments
Access controls
Encryption in transit
Restricted internal access
Risk-based security management
While no system can guarantee absolute security, industry-recognized practices are applied.
19. Data Retention
Personal data is retained only as long as necessary to:
Fulfill contractual obligations
Comply with legal requirements
Resolve disputes
Data may be deleted after account termination and reasonable retention periods.
20. Data Subject Rights
Where applicable, individuals have the right to:
Access their personal data
Request correction
Request deletion
Restrict processing
Object to processing
Request data portability
Withdraw consent
Requests may be submitted to: support@bmsforce.com
Identity verification may be required.
21. Third-Party Processors
BMSFORCE SYSTEMS may engage trusted third-party providers for infrastructure, payment processing, or communication services.
Such providers are contractually obligated to process data securely and only under documented instructions.
22. Updates to this Agreement
This Agreement may be amended from time to time.
Updated versions become effective upon publication.
Continued use constitutes acceptance of the revised Agreement.
